Appendix A – Artificial Intelligence (AI) Use and Compliance

GTB Technologies, Inc.’s (“GTB”) software, including but not limited to GTB Inspector, GTB Endpoint Protect, GTB Central Console, GTB Lifeguard AI, GTB Data at Rest Manager, GTB Cloud DLP, GTB Data Discovery, and GTB Auditor (the “Software”) may include or evolve to include features that utilize AI Technology (as defined below). Use of the Software, including any present or future AI Technology, is subject to the terms set forth in this Appendix A – Artificial Intelligence Use and Compliance (the “AI Appendix”). This AI Appendix shall be deemed an Appendix to the services, license, evaluation, access or other agreement that governs use of the Software (as applicable, the “Agreement”) between GTB and the customer or reseller (referred to in this Appendix as “you” or “your”) that is party to the Agreement. This AI Appendix and the terms set forth herein are hereby incorporated into and form a part of the applicable Agreement. By accessing or using the Software, including during any evaluation or production use, you agree to the terms set forth in this AI Appendix.

Defined Terms

“AI Technology” means machine learning, deep learning, and other artificial intelligence technologies, including statistical learning algorithms, models (including large language models), neural networks, and other artificial intelligence tools or methodologies.

“AI Feature(s)” means any feature, functionality, or component of the Software that incorporates, uses, depends on, or employs any AI Technology. With respect to the functionality of the AI Features used in connection with the Software, the applicable AI Features may assist in content classification, anomaly detection, behavioral analytics, or other forms of automated analysis.

“Usage Data” means the statistical and performance data and information that GTB tracks, collects, derives, extracts, or creates regarding your or your end users’ use of the Software, including data that has general applicability to the Software for purposes of improving the AI Features and AI Technology.

“Your Data” means information, data, and other content, in any form or medium, that is submitted, entered, posted, or otherwise transmitted by you or on your behalf by authorized end users through the Software, and any outputs based thereon or derived therefrom, including any information, data, materials, text, images, code, works, or other content generated by or otherwise output from your use of the AI Features, but excluding Usage Data (“Outputs”).

Use of AI Features. The AI Features may not be used for unlawful, fraudulent, offensive, or obscene activity, as further described and set out in GTB’s Artificial Intelligence Acceptable Use Policy located at Acceptable Use Policy – Artificial Intelligence – GTB Technologies (the “AI AUP”), as may be amended from time to time, and which is hereby incorporated herein by this reference. Your use of the Software is subject to your compliance with all terms and conditions of this AI Appendix and the AI AUP, and all applicable laws, rules, and regulations, and all guidelines, standards, requirements, and policies that may be posted on the GTB Website at https://gttb.com/buy/from time to time.
Your Data. As between GTB and you, all right, title, and interest in Your Data, including Outputs, and all intellectual property rights therein, belong to and are retained solely by you. If any intellectual property rights in Your Data vest in GTB by operation of applicable law or otherwise, then GTB will undertake all reasonable efforts to ensure that such rights are transferred to you. GTB will not use Your Data or any Outputs to develop, train, enhance, fine-tune, or improve any third party AI Technology, however, you acknowledge and agree that GTB may use Your Data, including Outputs, for GTB’s internal business purposes relating to the Software, including providing the Software to you, implementing security features, and enhancing the AI Features. You hereby grant GTB a limited, non-exclusive, royalty-free, worldwide, right and license to use Your Data, including Outputs, for such purposes.
Usage Data. Notwithstanding anything to the contrary in the Agreement or this AI Appendix, GTB may monitor your use of the Services and collect and compile Usage Data. As between GTB and you, all right, title, and interest in Usage Data, and all intellectual property rights therein, belong to and are retained solely by GTB.
End Users. You acknowledge and agree that you shall be responsible for, and you shall ensure, compliance with this AI Appendix and the AI AUP by any end users authorized by you to use the AI Features. You remain fully responsible for any downstream application, distribution, or reliance on AI Features and any Outputs generated by the AI Features by such end users, and you will be jointly and severally liable for such end users’ access to and use of the AI Features.
Disclaimers: No Warranties. AI-generated outputs are probabilistic, and they may contain factual inaccuracies, interpretation errors, or limitations depending on the quality and scope of the input. They are not exhaustive or authoritative and should not be used without human oversight, particularly in strategic, regulatory, legal, or externally shared contexts. You are solely responsible for reviewing, validating, and appropriately using all Outputs. Outputs should not be treated as definitive or authoritative without human oversight. GTB does not guarantee the accuracy, completeness, or suitability of Outputs for any decision, including but not limited to regulatory, compliance, or business decisions. All AI Features of the Software are provided strictly on an “as-is” basis without warranties of any kind, express or implied. GTB Technologies, Inc. expressly disclaims any warranties relating to fitness for a particular purpose, accuracy, or regulatory compliance of Outputs.
User Responsibility. Users of the Software remain solely responsible for all configurations, interpretations, and actions taken in reliance on the AI Features. This includes compliance with applicable laws, policies, and data protection requirements. GTB does not assume any obligation to validate or monitor the appropriateness of any users’ use of AI Features.
Limitation of Liability. To the maximum extent permitted by law, GTB shall not be liable for anything, including but not limited to damages, regulatory penalties, or third-party claims, arising from use or misuse of the AI Features.
Updates and Availability. GTB may update this AI Appendix from time to time at its sole discretion. Such updates shall become effective upon posting to Acceptable Use Policy – Artificial Intelligence – GTB Technologies GTB is under no obligation to notify users of such updates. Continued use of the Software or any of GTB’s Services after the effective date of the modifications will be deemed acceptance of the most current version of this AI Appendix as updated.
